Terms & Conditions

You must be at least 18 years old to use our services. If you are entering into these Terms on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

BloomSystm designs and delivers business systems. Our services include ready-built systems available for purchase, fully custom systems, software, automations, AI-assisted workflows, dashboards and reporting, websites and web applications, integrations, customer portals, and related setup and support.

You may browse systems on our website, purchase one directly, create an account, complete onboarding, and have the system configured with your business information and branding. Pre-built systems are delivered as configured instances of our existing platform. Descriptions, features, and screenshots are illustrative; specific functionality may evolve as the platform is improved.

Custom work is scoped through a consultation and confirmed in a proposal, statement of work, or written agreement describing the deliverables, timeline, and fees. Where a written scope conflicts with these Terms for that project, the written scope controls for that project only. Changes to scope may affect timeline and price and must be agreed in writing.

Some services require an account. Accounts use email-based verification codes that are time-limited, single-use, and rate-limited. You agree to provide accurate information, keep your email and account secure, and notify us promptly at Beth@BloomSystm.com of any unauthorized access. You are responsible for activity under your account and for the users you invite to your workspace.

Prices are shown at checkout and may include a one-time product price, a setup or implementation fee, and a recurring subscription. Recurring fees renew automatically until cancelled. Payments are processed by a third-party payment processor; we do not store raw payment card information. You authorize us and our processor to charge your payment method for all amounts due, including applicable taxes. Failure to pay may result in suspension of access.

Because our systems are digital products configured specifically for your business, fees are generally non-refundable once setup or onboarding work has begun. Recurring subscriptions can be cancelled at any time and remain active through the end of the current billing period; cancellation stops future charges but does not refund amounts already paid. If something isn't right, contact Beth@BloomSystm.com and we will work with you in good faith.

Access is granted after payment is verified and is tied to your account and workspace. Access is limited to your business and the users you authorize. You may not share credentials, attempt to access another customer's workspace or data, or circumvent access controls.

Purchasing a BloomSystm product gives you permission to use the system for your own business. It does not transfer ownership of BloomSystm's underlying intellectual property, including:

• Source code
• Frameworks
• Templates and starting structures
• Workflows and automations
• System architecture
• Designs and interfaces
• Processes and methodologies
• Proprietary technology

You are granted a limited, non-exclusive, non-transferable, revocable license to use the system for your internal business purposes for as long as your account is in good standing. You may not resell, redistribute, copy, sublicense, reverse engineer, or recreate BloomSystm products for other businesses without our prior written permission.

You retain ownership of the business information, branding, data, and content you provide. You grant us a license to use that material as needed to build, configure, host, support, and improve your system. You confirm you have the rights to everything you submit and that it does not infringe anyone else's rights.

Systems may connect to third-party services such as CRMs, calendars, email, messaging, payments, storage, and AI providers. Those services are governed by their own terms and pricing, may change or become unavailable, and are outside our control. We are not responsible for a third party's availability, performance, or actions.

Timely delivery depends on you. You agree to provide accurate information, complete onboarding, supply branding and access credentials where required, review deliverables, and respond to requests within a reasonable time. Delays caused by missing information may extend timelines.

A BloomSystm system should not automatically be considered compliant with HIPAA or any other regulatory framework simply because it includes security or privacy features. Specific compliance requirements demand the appropriate configuration, infrastructure, vendors, safeguards, policies, and written agreements — such as a business associate agreement where applicable.

Do not enter protected health information, regulated data, or other sensitive personal information into a system unless we have agreed in writing that the system is configured for it. You are responsible for your own legal and regulatory obligations.

You agree not to use our website or systems to:

• Break the law or violate anyone's rights.
• Send spam, deceptive, harassing, or unlawful communications.
• Upload malware or attempt to disrupt, overload, or probe our infrastructure.
• Access data or accounts that do not belong to you.
• Scrape, copy, or resell our platform, content, or systems.

Where you opt in, we may send SMS messages related to your account, appointments, onboarding, and systems. Message frequency varies and message and data rates may apply. Reply STOP to opt out or HELP for help. Consent to receive SMS messages is not a condition of purchase. Our messaging practices are described in the Privacy Policy. If you use a BloomSystm system to send messages to your own contacts, you are responsible for obtaining valid consent and complying with applicable messaging laws and carrier rules.

We aim for reliable service but do not guarantee uninterrupted availability. Systems may be temporarily unavailable for maintenance, updates, or reasons outside our control. Because we maintain one continuously improved platform, we may add, change, or remove features over time to improve security, performance, and functionality for all customers.

We do not guarantee any specific revenue, time savings, growth, or other business outcome. Results depend on many factors, including how your business uses the system.

Our website, products, and services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

To the fullest extent permitted by law, BloomSystm will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption. Our total liability for any claim relating to our website, products, or services will not exceed the amount you paid to BloomSystm in the twelve months before the event giving rise to the claim.

We may suspend or terminate access for non-payment, violation of these Terms, unlawful activity, or risk to our platform or other customers. You may stop using our services at any time and cancel a subscription as described above. Upon termination, your license to use the system ends. We will make your business data available for a reasonable period on request, after which it may be deleted in line with our retention practices.

We may change, discontinue, or replace products, features, or pricing. Where a change materially affects an active subscription, we will provide reasonable notice.

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Washington, and you consent to their jurisdiction.

We may update these Terms from time to time. The "Last Updated" date above shows when they were last revised. Continued use of our website or services after an update means you accept the revised Terms.
